Mill Road Reach Offering
Terms and Conditions
1. Introduction
By entering the Mill Road Reach Offering (the “Reach Offering”), you, the entrant (the “Charity/CIC/Social Enterprise”), agree to abide by the following Terms and Conditions. The purpose of the Reach Offering is to offer a selected Charity/CIC/Social Enterprise the opportunity to have a film produced free of charge in order to elevate their cause and message (the “Prize”).
2. Organiser Details
The Reach Offering is organised by Mill Road Technology Ltd, trading as Mill Road, located at The Coach House, 37 Leigh Hill Road, Cobham, Surrey KT11 2HU. The organiser is referred to as “We,” “Us,” or “Our.”
3. Eligibility
3.1 The Reach Offering is open to Charities within the UK that are registered with the Charity Commission for England and Wales, Office of the Scottish Charity Regulator (OSCR) or the Charity Commission for Northern Ireland plus UK registered Community Interest Companies (CIC) and Social Enterprises.
3.2 Charities/CICs/Social Enterprises must have a registered address and be legally able to enter into a contract.
3.3 Charities/CICs/Social Enterprises must demonstrate a clear need for a film to support their mission, raise awareness, or promote an initiative.
3.4 Employees, affiliates, and their immediate families of the organiser are not eligible to enter the Reach Offering.
4. How to Enter
4.1 To enter, Charities/CICs/Social Enterprises must submit a completed application form by 31st January 2025. The form will be available at https://www.mill-road.co.uk/impact.
4.2 The application must include:
A brief description of the Charity/CIC/Social Enterprise’s mission and current projects.
The purpose of the film and how it will benefit the Charity/CIC/Social Enterprise.
Confirmation that the Charity/CIC/Social Enterprise has the legal authority to grant the necessary rights for the production of the film.
Any additional materials or resources required to support the application (e.g., images, videos, brochures, etc.).
4.3 Only one entry per Charity/CIC/Social Enterprise is allowed. Multiple applications will result in disqualification.
5. Submission Deadline
5.1 All applications must be submitted by 31st January 2025. Late submissions will not be considered.
6. Prize Details
6.1 The Prize consists of:
The production of a film up to 3 minutes in length.
Full production, including pre-production, filming, editing, and post-production services including 1 music license and 2 rounds of amends after first approval file delivery.
Final delivery of the film in .MP4 format.
6.2 The Prize does not include any additional expenses such as travel, accommodation, talent fees, or any other costs outside of the agreed film production scope.
6.3 The film will be produced by Mill Road, subject to the production schedule and availability of crew members.
6.4 The Charity/CIC/Social Enterprise must provide access to necessary personnel and locations for the production.
7. Selection Process
7.1 The winner will be selected by a panel of judges based on the following criteria:
The clarity of the film’s purpose and alignment with the Charity/CIC/Social Enterprise’s mission.
The potential impact of the film in raising awareness or driving engagement for the Charity/CIC/Social Enterprise’s cause.
The feasibility of producing the film within the given scope and resources.
7.2 The winner will be notified by email or phone on or around 28th February 2025. If the selected Charity/CIC/Social Enterprise does not respond within 14 days, an alternative winner will be selected.
8. Intellectual Property Rights
8.1 By entering the Reach Offering, the Charity/CIC/Social Enterprise grants the organiser a license to use the submitted materials for the purpose of judging the Reach Offering and promoting the Reach Offering (e.g., in social media, press releases, and marketing materials).
8.2 Upon selection as the winner, the Charity/CIC/Social Enterprise agrees to grant the organiser and the production team the necessary rights to use the Charity/CIC/Social Enterprise’s name, logo, and other branding elements in connection with the production of the film.
8.3 The Charity/CIC/Social Enterprise will retain ownership of the final film, but grants the organiser a non-exclusive, royalty-free license to use the film for promotional purposes related to the Reach Offering. This includes but is not limited to: social media, website content, advertisements, and press coverage.
8.4 The Charity/CIC/Social Enterprise agrees that they will not use the film for commercial purposes without prior consent from the organiser.
9. Liability
9.1 The organiser shall not be liable for any loss, damage, injury, or expense that may occur as a result of participating in the Reach Offering or using the film.
9.2 The Charity/CIC/Social Enterprise is responsible for ensuring that it has the necessary permissions, releases, and consents for the use of any third-party materials (e.g., music, images, locations) included in the application or film.
10. Privacy and Data Protection
10.1 By entering the Reach Offering, the Charity/CIC/Social Enterprise agrees to the collection, storage, and processing of personal data in accordance with Mill Road’s privacy policy. This data will only be used for the purposes of administering the Reach Offering and delivering the Prize.
10.2 The Charity/CIC/Social Enterprise may receive marketing communications from the organiser. If the Charity/CIC/Social Enterprise does not wish to receive such communications, they may opt-out at any time.
11. General Conditions
11.1 The organiser reserves the right to cancel or amend the Reach Offering, and these Terms and Conditions, at any time without prior notice. Any changes will be posted on https://www.mill-road.co.uk/impact.
11.2 The decision of the judging panel is final and binding. No correspondence will be entered into.
11.3 These Terms and Conditions are governed by the laws of England and Wales.
